1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Merchant", "you", "your") and SceneShot Ltd, a company registered in England and Wales ("SceneShot", "we", "us", "our"), governing your access to and use of the SceneShot platform, website (sceneshot.co), Shopify application, APIs, and all related services (collectively, the "Service").

By creating an account, installing our Shopify application, or otherwise accessing the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, our Acceptable Use Policy, and our Cookie Policy. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

If you do not agree to these Terms, you must not use the Service.

2. Description of Service

SceneShot is an AI-powered creative platform that enables e-commerce merchants to generate lifestyle product photography, video content, and marketing assets. The Service includes, but is not limited to:

  • AI-generated lifestyle product images using third-party models (including Google Gemini)
  • AI-generated video content using third-party models (including Google Veo)
  • AI model personas for brand-consistent imagery
  • Integration with Shopify stores for product import and image push-back
  • Brand kit extraction and management tools
  • Image format generation for multiple advertising platforms
  • Background removal and image editing tools

The Service relies on third-party AI providers. The availability, quality, and capabilities of AI-generated content are subject to the limitations and policies of those providers and may change without notice.

3. Eligibility & Account Registration

You must be at least 18 years of age (or the age of majority in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this requirement.

When creating an account, whether directly through our website or via Shopify app installation, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate and current
  • Maintain the security of your account credentials and not share them with third parties
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorised use of your account

We reserve the right to suspend or terminate accounts that we reasonably believe contain false or misleading information, or that are being used in violation of these Terms.

4. Shopify Application

If you access the Service through our Shopify application, the following additional terms apply:

  • Installation of the Shopify app constitutes acceptance of these Terms.
  • We access your Shopify store data (products, collections, images, theme information, and order data) solely to provide the Service. We do not sell or share this data with third parties except as required to operate the Service.
  • When you use the "Push to Shopify" feature, generated images are uploaded directly to your Shopify product listings via the Shopify Admin API. You are responsible for reviewing these images before publishing them to your live storefront.
  • Uninstalling the Shopify app will revoke our access to your store. Your generated content stored on our platform will be retained in accordance with our data retention policies. You may request full deletion by contacting us.
  • Our Shopify app complies with Shopify's Partner Program Agreement and API Terms of Service.

5. Plans, Pricing & Payment

5.1 Billing Models

SceneShot offers the following billing models:

  • Free tier: Limited credits provided at signup. No payment required. Intended for evaluation purposes.
  • Credit packs: One-time purchases of generation credits. Credits do not expire but are non-refundable once purchased.
  • Subscription plans (Starter, Growth, Scale): Monthly or annual recurring charges that include a set number of credits per billing cycle, with unused credits rolling over subject to a cap. Subscriptions provide additional features such as video generation, priority queuing, and unlimited image retention.
  • Pro plan (BYOK): You provide your own Google Gemini API key. You pay Google directly for API usage. SceneShot charges a flat monthly or annual fee for platform access.

5.2 Payment Processing

Payments are processed through Stripe (for direct website users) or Shopify Billing API (for Shopify app users). We do not store your payment card details. All payment processing is handled by PCI-DSS compliant third-party processors.

For Shopify app users, charges appear on your Shopify invoice and are subject to Shopify's billing terms.

5.3 Subscription Auto-Renewal & Cancellation

Subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date. You may cancel at any time through your account settings or Shopify admin. Upon cancellation:

  • You retain access until the end of the current billing period.
  • Unused credits at the time of cancellation are forfeited.
  • No prorated refunds are provided for partial billing periods.
  • Previously generated images remain accessible subject to your plan's retention policy.

5.4 Refund Policy

Due to the nature of AI-generated content (which cannot be "returned"), all purchases are generally non-refundable. However, we may issue refunds at our discretion in cases where:

  • A technical error on our part prevented you from using purchased credits
  • You were charged incorrectly due to a billing error
  • The Service was materially unavailable for an extended period

Refund requests must be submitted within 14 days of the charge by contacting [email protected].

5.5 Price Changes

We reserve the right to modify our pricing at any time. Existing subscribers will be given at least 30 days' notice before any price increase takes effect on their next renewal.

6. AI-Generated Content

6.1 Nature of AI Output

All images, videos, and text generated through the Service are produced by artificial intelligence models. You acknowledge and agree that:

  • AI-generated content is probabilistic in nature and may not always meet your expectations in terms of quality, accuracy, or appropriateness.
  • Generated images may contain imperfections, artefacts, or inaccuracies including but not limited to distorted features, incorrect product details, or unrealistic compositions.
  • AI-generated people depicted in lifestyle images are entirely fictional and do not represent any real individual, living or deceased.
  • We do not guarantee that any specific generation request will produce usable output. Credits are consumed upon generation regardless of the perceived quality of the output.
  • The underlying AI models are provided by third parties (Google) and their capabilities, safety filters, and content policies may change at any time without our control.

6.2 Content Review Responsibility

You are solely responsible for reviewing all AI-generated content before publishing, distributing, or using it in any commercial context. This includes verifying that generated content:

  • Accurately represents your products
  • Does not infringe on any third-party intellectual property rights
  • Complies with applicable advertising standards and regulations in your jurisdiction
  • Does not contain offensive, misleading, or inappropriate material
  • Complies with the platform policies of any advertising network or marketplace where you intend to use it (e.g. Google Ads, Meta Ads, Shopify)

SceneShot shall not be liable for any claims, damages, or losses arising from your use of AI-generated content that you have not adequately reviewed.

6.3 Safety Filters & Content Blocks

The AI models used by the Service have built-in safety filters that may block certain generation requests. Content may be blocked for reasons including but not limited to: nudity or sexual content, violence, hate speech, copyrighted material, or content involving minors. We have no control over these filters and cannot override them. Blocked generations may still consume credits in some cases.

7. Intellectual Property

7.1 Your Content

You retain full ownership of any product images, brand assets, logos, or other materials you upload to the Service ("Your Content"). By uploading content, you grant us a limited, non-exclusive, royalty-free licence to process, store, and use Your Content solely for the purpose of providing the Service to you.

7.2 Generated Content

Subject to your compliance with these Terms and our Acceptable Use Policy, you are granted a perpetual, worldwide, royalty-free licence to use AI-generated content created through your account for any lawful commercial or personal purpose. We make no claim of ownership over your generated outputs.

However, you acknowledge that:

  • AI-generated content may not be eligible for copyright protection in all jurisdictions. The legal status of AI-generated works varies by country and is evolving.
  • Similar or identical outputs may be generated for other users who provide similar inputs. We do not guarantee uniqueness of generated content.
  • We may use anonymised, aggregated generation data to improve the Service, but we will not use your specific generated outputs for marketing or training purposes without your consent.

7.3 SceneShot IP

The SceneShot platform, brand, logo, website, source code, documentation, and all related materials are the intellectual property of SceneShot Ltd and are protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right to use our branding or platform beyond the scope of the Service.

8. Prohibited Uses

You must not use the Service to:

  • Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
  • Generate content that exploits minors in any way
  • Generate content that infringes on the intellectual property rights, privacy rights, or publicity rights of any third party
  • Create deepfakes or misleading content intended to deceive or defraud
  • Generate content for use in connection with illegal activities, including fraud, counterfeiting, or the sale of prohibited goods
  • Attempt to circumvent AI safety filters or content moderation systems
  • Use automated systems to access the Service beyond normal usage patterns (e.g. scraping, bot access)
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Resell access to the Service or generated content as a standalone service
  • Interfere with or disrupt the Service or its infrastructure

9. Data Protection & Privacy

We process personal data in accordance with applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Our full data practices are described in our Privacy Policy.

Key points relevant to merchants:

  • We store your account information, uploaded product images, and generated content on secure servers hosted in the EU/UK.
  • Product data imported from Shopify is stored solely for the purpose of providing the Service.
  • AI generation requests are processed by Google's AI models. Product images you submit for generation are sent to Google's servers for processing and are subject to Google's AI terms of service.
  • We do not sell your personal data or product data to third parties.
  • You have the right to request export or deletion of your data at any time.

10. Service Availability & Uptime

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (we will provide advance notice where possible)
  • Emergency maintenance or security patches
  • Third-party service outages (Google AI, Shopify, cloud hosting, payment processors)
  • Events beyond our reasonable control (force majeure)

We are not liable for any losses or damages arising from Service unavailability. We do not offer Service Level Agreements (SLAs) to individual merchants.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR QUALITY OF AI-GENERATED CONTENT
  • WARRANTIES THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS
  • WARRANTIES REGARDING THE PERFORMANCE OR AVAILABILITY OF THIRD-PARTY AI MODELS OR APIS

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • SCENESHOT LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, OR LOSS OF GOODWILL, ARISING FROM OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
  • OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED POUNDS STERLING (£100).
  • WE SHALL NOT BE LIABLE FOR ANY DAMAGE TO YOUR SHOPIFY STORE, PRODUCT LISTINGS, OR BUSINESS REPUTATION ARISING FROM AI-GENERATED CONTENT THAT YOU CHOSE TO PUBLISH WITHOUT ADEQUATE REVIEW.
  • WE SHALL NOT BE LIABLE FOR ANY CHARGES INCURRED ON YOUR GOOGLE AI ACCOUNT WHEN USING THE PRO (BYOK) PLAN. YOU ARE SOLELY RESPONSIBLE FOR MONITORING YOUR OWN API USAGE AND COSTS.

Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless SceneShot Ltd, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or in connection with:

  • Your use of the Service or any AI-generated content
  • Your violation of these Terms or any applicable law or regulation
  • Your violation of any third-party rights, including intellectual property rights
  • Any content you upload to or generate through the Service
  • Any dispute between you and your customers arising from AI-generated product imagery

14. Termination

14.1 Termination by You

You may stop using the Service and close your account at any time by contacting us at [email protected]. If you have an active subscription, cancellation takes effect at the end of the current billing period.

14.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if:

  • You breach these Terms or our Acceptable Use Policy
  • Your use of the Service poses a security risk or legal liability
  • Your account has been inactive for more than 12 months
  • We are required to do so by law or court order
  • We cease providing the Service entirely

14.3 Effect of Termination

Upon termination: (a) your right to access the Service ceases immediately; (b) any unused credits are forfeited without refund; (c) we may delete your account data after a reasonable retention period (typically 90 days), unless we are required to retain it by law; (d) provisions that by their nature should survive termination shall survive, including Sections 7, 11, 12, 13, and 16.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

  • Update the "Last Updated" date at the top of this page
  • Notify registered users via email at least 14 days before material changes take effect
  • For Shopify app users, changes will also be communicated through the app interface

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Service and close your account.

16. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where prohibited by applicable consumer protection laws in your jurisdiction.

Before initiating any legal proceedings, you agree to first attempt to resolve the dispute informally by contacting us at [email protected]. We will attempt to resolve the dispute within 30 days. If the dispute cannot be resolved informally, either party may proceed with formal legal action.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, Acceptable Use Policy, and Cookie Policy, constitute the entire agreement between you and SceneShot Ltd regarding the Service and supersede all prior agreements and understandings.

17.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

17.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

17.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, epidemics, war, terrorism, government actions, power failures, internet outages, or third-party service failures.

17.6 Third-Party Services

The Service integrates with third-party services including Google AI, Shopify, Stripe, and cloud hosting providers. Your use of these third-party services is subject to their respective terms of service. We are not responsible for the acts or omissions of third-party service providers.
